Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and Cloudax LTD, a company registered at Nicosia, Cyprus ("Cloudax", "we", "us"), governing your use of our text-to-speech, transcription, translation and AI summary platform, Cloudax AI, available at ai.cloudax.io (the "Service"). By creating an account or using the Service, you agree to these Terms.

1. Eligibility and accounts

You must be at least 16 years old, or the age of digital consent in your jurisdiction, to use the Service. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

2. Acceptable use

You agree not to use the Service to:

• Generate, upload, or distribute content that is unlawful, defamatory, harassing, hateful, or infringing on the rights of others.
• Impersonate a real person's voice or likeness without their knowledge and consent, or otherwise use synthesised speech to deceive, defraud, or mislead.
• Attempt to reverse engineer, scrape, or circumvent rate limits or security controls of the Service.
• Upload malware, or content designed to disrupt the Service or its underlying infrastructure and subprocessors.
• Violate any applicable law or regulation.

3. Your content and rights you grant us

You retain ownership of the text and audio you upload ("Your Content") and the outputs generated from it. You are solely responsible for Your Content and represent and warrant that:

• You own Your Content, or have obtained all necessary rights, licences, and consents to upload it and to have it processed by the Service and its subprocessors — this includes, where you upload audio recordings that contain other people's voices, having their consent to that recording being transcribed, translated, summarised, or otherwise processed.
• Your Content does not infringe any third party's rights.

You grant us a limited, non-exclusive licence to process, store, and transmit Your Content — including to the subprocessors listed in our Privacy Policy — solely to provide and improve the Service to you. We do not claim ownership of Your Content.

4. Subscriptions and billing

• Paid plans are billed in advance on a recurring basis (monthly or annually, as selected at checkout) until cancelled.
• Usage-based limits (for example characters converted, minutes transcribed, or translation volume) are described on the Pricing page and may change with notice.
• You can cancel your subscription at any time; cancellation takes effect at the end of the current billing period. Except where required by law, fees already paid are non-refundable.
• We may change our pricing with reasonable advance notice. Continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.

5. Service availability

We aim to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation. The Service depends on third-party subprocessors (including ElevenLabs, Deepgram, OpenAI, and DeepL) and may be affected by their availability. We may suspend or modify the Service, in whole or in part, for maintenance, security, or legal reasons, with notice where reasonably practicable.

6. Intellectual property

The Service, including its software, design, and branding (excluding Your Content), is owned by Cloudax LTD and protected by intellectual property laws. Nothing in these Terms grants you rights to our trademarks or branding.

7. Limitation of liability

To the maximum extent permitted by law, Cloudax LTD and its subprocessors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising from your use of the Service. Our total liability for any claim arising from these Terms or the Service will not exceed the amount you paid us in the 6 months preceding the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under Cyprus law.

8. Disclaimer of warranties

The Service, including AI-generated transcripts, translations, summaries, and synthesised speech, is provided "as is" and may contain errors or inaccuracies. You are responsible for reviewing outputs before relying on them, particularly for accuracy-critical or professional use.

9. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms, misuse the Service, fail to pay applicable fees, or if we are required to do so by law. Upon termination, your right to use the Service ends, and Your Content will be deleted in accordance with our Privacy Policy, subject to any legally required retention.

10. Changes to these Terms

We may update these Terms from time to time. We will post the updated version here with a revised "Last updated" date and, for material changes, provide additional notice. Continued use of the Service after changes take effect constitutes acceptance.

11. Governing law and contact

These Terms are governed by the laws of Cyprus, without regard to its conflict of law provisions, and the courts of Cyprus will have exclusive jurisdiction over any dispute arising from these Terms or the Service.
